TERMS AND CONDITIONS AGREEMENT


This Terms and Conditions Agreement (“Agreement”) is a legal agreement between Graceway Publishing Co. Inc., doing business as Institute of Business Forecasting & Planning (“IBF”), and you (“You” or “User”). This Agreement, including any amendments made from time to time, governs your access to and use of IBF’s website (www.ibf.org) (the “Site”) and all related services, programs, events, and content (collectively, the “Services”), including but not limited to all text, graphics, audio and video transmissions, photographs, statistics, and logos (the “Content”).

Please read this Agreement carefully. By clicking “I Agree,” registering for an account, purchasing a product, or registering for or attending an IBF event, You acknowledge that You have read, understood, and agree to be bound by this Agreement.

USER REGISTRATION AND ACCOUNT USE

You agree to provide complete, accurate, and current information during the registration process and to promptly update such information as necessary. You may not provide any information that is false, misleading, or incorrect.

IBF reserves the right to suspend or terminate your account and access to the Services if any registration information is found to be inaccurate, incomplete, or misleading.

By using the Site and Services, You agree that:

1.Only one individual may access the Services using a specific user ID.

2.No individual may maintain more than one user ID.

3.A user ID may only access the Services from one device at a time.

4.You may not share your username or password or permit non-registered users to access the Services.

5.You may not copy, reuse, rebroadcast, publish, distribute, or otherwise exploit the Content without prior written permission from IBF.

6.You will use the Site, Services, and Content in compliance with all applicable laws and regulations in the United States and in the jurisdiction in which You access the Services.

IBF CONTENT – INTELLECTUAL PROPERTY

All Content made available through the Site and Services is the sole property of IBF and/or its licensors and is protected by copyright and other intellectual property laws.

Content is licensed to You solely for your personal, non-commercial use. You may not copy, distribute, transmit, rebroadcast, publish, upload, modify, create derivative works from, perform, display, or otherwise use the Content without express written authorization from IBF.

The Content may not be displayed or used in any public or commercial setting, including commercial establishments. You may not charge admission for viewing or listening to the Content, nor permit access by others through your account, even if accessing through a company or division license.

DISCLAIMER OF WARRANTIES

The Site, Services, Content, and events are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, IBF’s total liability arising out of or relating to this Agreement, the Site, Services, Content, or any event shall not exceed the amount paid by You to IBF for the applicable product, service, or event.

In no event shall IBF be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless IBF, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or Services, participation in any event, or violation of this Agreement.

MODIFICATIONS TO AGREEMENT

IBF reserves the right, at any time and without prior notice, to modify, update, or revise this Agreement. Any modifications become effective immediately upon posting on the Site. Your continued use of the Site or Services constitutes acceptance of the revised Agreement.

EVENTS TERMS & CONDITIONS

The following terms apply to all IBF in-person, virtual, and hybrid events, conferences, training programs, and workshops.

1. Individual Registration

Event registrations are issued on an individual basis and may only be used by the person whose name appears on the registration.

2. Use of Event Materials

Any materials provided in connection with IBF events are for personal use only and may not be shared, reproduced, or distributed without prior written consent from IBF.

3. Program Changes

IBF reserves the right to substitute, modify, reschedule, or cancel sessions, speakers, topics, or event content as necessary.

4. Payment Terms

Full payment is required prior to the scheduled event date. If payment is not received before the event begins, IBF reserves the right to cancel the registration.

5. Registrant Cancellations

All cancellation requests must be submitted in writing at least fifteen (15) days prior to the event start date. No refunds or credits will be issued after that time.
If training materials have been delivered, no refunds will be issued regardless of timing.
For event packages that include IBF Membership, membership fees are non-refundable. Any approved refund will be issued net of the IBF Membership fee at the then-advertised rate.

6. Event Cancellation or Postponement by IBF

If IBF cancels or postpones an event for any reason, registrants will be offered either (a) a credit toward a future IBF event or product, or (b) a refund of the registration fee paid, at IBF’s discretion.
IBF shall have no liability for any travel-related expenses, including airfare, lodging, meals, or ground transportation.

7. Assumption of Risk

You understand that attendance at in-person events involves inherent risks, including travel-related risks and potential exposure to illness, and You voluntarily assume all such risks.

8. Photography, Audio, and Video Release

By attending an IBF event, whether in person or virtually, You acknowledge and agree that You may be photographed, recorded, or filmed. You grant IBF the irrevocable right to use such photographs, audio, and video recordings for marketing, promotional, educational, and archival purposes, in any media, without compensation. You release IBF from any related claims.

9. Venue, Location, and Format Changes

IBF reserves the right, at its sole discretion, to change the event venue, hotel, location, dates, and/or event format for operational reasons or due to circumstances beyond IBF’s reasonable control. Any such changes do not constitute grounds for cancellation, refund, or credit beyond what is expressly stated in this Agreement.

FORCE MAJEURE

IBF shall not be liable for failure or delay in performance due to events beyond its reasonable control, including acts of God, natural disasters, public health emergencies, government actions, labor disputes, or venue unavailability.

GOVERNING LAW AND VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles. Any legal action shall be brought exclusively in the state or federal courts located in New York, New York.

SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between You and IBF regarding the subject matter herein and supersedes all prior or contemporaneous communications, representations, or agreements.

ACKNOWLEDGMENT

By using the Site, Services, or attending an IBF event, You acknowledge that You have read, understood, and agree to be bound by this Agreement in its entirety.
